1. Acceptance of Terms
By accessing or using IdleCloud's API, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
IdleCloud provides a decentralized LLM inference platform that connects API users with GPU miners. We offer:
- OpenAI-compatible API for LLM inference
- Decentralized GPU compute network
- Tools and SDKs for developers
- Miner software for GPU owners
3. Account Registration
3.1 Eligibility
You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this age requirement.
3.2 Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Keeping your API keys confidential
- Notifying us immediately of any unauthorized access
Important: Never share your API keys publicly or commit them to version control. You are liable for any usage of your API keys.
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Service for:
- Legitimate AI inference applications
- Research and development
- Commercial applications (subject to billing)
- Educational purposes
4.2 Prohibited Use
You may NOT use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Generate harmful, abusive, or illegal content
- Attempt to reverse engineer or compromise the Service
- Circumvent usage limits or billing mechanisms
- Scrape or harvest data from the Service
- Resell or redistribute the Service without authorization
- Use the Service for cryptocurrency mining (other than as an authorized miner)
- Conduct denial-of-service attacks or similar activities
5. API Usage and Rate Limits
5.1 API Keys
- API keys are personal and non-transferable
- You may generate multiple API keys for different environments
- You must revoke compromised API keys immediately
5.2 Rate Limits
- Rate limits are applied per API key
- Limits may vary based on your usage tier
- We reserve the right to adjust rate limits
- Exceeding rate limits may result in temporary suspension
5.3 Service Availability
The Service is provided "as is" with a decentralized network. While we strive for high availability, we do not guarantee uninterrupted service. Availability depends on miner availability and network conditions.
6. Billing and Payment
6.1 Pricing
- Pricing is based on token usage (input and output tokens)
- Current pricing is available at /pricing
- We reserve the right to change pricing with 30 days notice
- Price changes do not apply retroactively
6.2 Payment Terms
- Pay-as-you-go billing based on actual usage
- Payment is due immediately upon invoice
- Failure to pay may result in service suspension
- All fees are in USD unless otherwise stated
- All fees are non-refundable except as required by law
6.3 Free Credits
- New users receive $1 in free credits
- Free credits cannot be transferred or redeemed for cash
- Free credits expire 90 days after account creation
7. Miner Terms (For GPU Owners)
7.1 Miner Eligibility
To operate a miner, you must:
- Have compatible GPU hardware
- Maintain stable internet connection
- Comply with local laws regarding compute sharing
- Accept the risk of electricity costs and hardware wear
7.2 Miner Responsibilities
- Ensure your hardware meets minimum requirements
- Maintain software updates and security patches
- Monitor your miner for performance and errors
- Report issues or downtime promptly
7.3 Earnings and Payouts
- Earnings are based on completed inference jobs
- Payment rates are subject to change with notice
- Minimum payout thresholds apply
- Payouts may be in credits or cash (based on settings)
- We reserve the right to withhold payment for fraudulent activity
8. Intellectual Property
8.1 IdleCloud IP
IdleCloud and its logos, software, documentation, and other materials are owned by IdleCloud and protected by copyright, trademark, and other intellectual property laws.
8.2 Your Content
- You retain ownership of your API requests and generated content
- You grant us a license to process your requests through our Service
- We do not claim ownership of your prompts or generated outputs
- We do not use your content to train models (see Privacy Policy)
9. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy. Key points:
- We do not store API request/response content
- All communications are encrypted
- We collect minimal usage metadata for billing and debugging

10. Disclaimers and Limitations of Liability
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDLECLOUD SHALL NOT BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Service interruptions or downtime
- Content generated by the models
- Actions of third-party miners
IN NO EVENT SHALL IDLECLOUD'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.
11. Indemnification
You agree to indemnify and hold IdleCloud harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of third parties
- Content you generate using the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting team@idlecloud.ai. Outstanding balances remain due upon termination.
12.2 Termination by Us
We may suspend or terminate your access if:
- You violate these Terms
- You fail to pay outstanding invoices
- We detect fraudulent or abusive activity
- Required by law
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
13.2 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending an email notification (for significant changes)
Your continued use of the Service after changes constitutes acceptance of the updated Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and IdleCloud.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
15.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
15.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
